General terms and conditions
As of: October 2026
1. Scope
These general terms and conditions apply to all contracts between Projekte²⁴, Rudolfstraße 19, 87629 Füssen, Germany (hereinafter “Contractor”) and the customer (hereinafter “Client”) for the creation, maintenance and support of websites, web applications and related services. Deviating terms of the Client only apply if the Contractor has expressly agreed to them in writing.
2. Offer and conclusion of contract
Offers are non-binding unless expressly designated as binding. The contract is concluded by the Client's acceptance of the offer in writing or text form, or by the start of service provision with the Client's consent. Information in price lists and on the website are guide values; the price stated in the offer is decisive. The pricing tiers “Basic”, “Business” and “Premium” and extensions “on request” are specified in the offer.
3. Scope of services
The type and scope of the services result from the offer or the service description. Requests beyond the agreed scope are change or extension orders and are offered and remunerated separately. The Contractor determines the technical implementation at its own discretion unless otherwise agreed.
4. Client's cooperation
The Client provides texts, images, logos and other content in good time, completely and in a usable form and warrants that it is entitled to use this content and that no third-party rights are infringed. Delays caused by a lack of cooperation extend agreed deadlines appropriately. Access credentials must be treated confidentially.
5. Deadlines and acceptance
Stated deadlines are only binding if expressly agreed as binding. The Contractor usually provides the Client with a demo to try out. After completion the work must be accepted within 14 days. Acceptance is deemed to have occurred if the Client does not report any comprehensibly described material defects within this period or uses the website productively.
6. Remuneration and payment
The remuneration results from the offer. The offer states whether statutory VAT is included or charged separately. Invoices are payable within 14 days without deduction unless otherwise agreed. For larger projects the Contractor may demand instalments or a down payment. In case of late payment the statutory provisions apply. Ongoing services (e.g. maintenance, hosting support, support) are invoiced monthly or annually as agreed.
7. Usage rights
Upon full payment the Client receives the non-exclusive right, unlimited in time and territory, to use the created website for the agreed purpose. The source code and the Contractor's own standard components remain its property unless otherwise agreed; the Client receives a right of use for operating the website. Open-source components are subject to their respective licences. The Contractor may name the project as a reference unless the Client objects.
8. Hosting, domains and third-party providers
Unless expressly agreed otherwise, hosting and domains are contracted directly between the Client and the respective provider. The Contractor accepts no liability for outages, changes or price changes of third-party providers (e.g. hosts, payment service providers, email providers). The Client is responsible for the proper operation of email delivery (e.g. setting up SPF, DKIM and DMARC) within its hosting or domain contract unless setup by the Contractor was agreed.
9. Warranty
The Contractor remedies defects that impair the agreed scope of services as part of subsequent performance. Claims for defects become time-barred one year after acceptance for businesses and according to statutory provisions for consumers. Insignificant deviations caused by different browsers, devices or settings, as well as errors caused by changes made by the Client or third parties to the code or server environment, are not defects.
10. Liability
The Contractor is liable without limitation for intent and gross negligence, for injury to life, body or health and under the Product Liability Act. In cases of slight negligence it is only liable for breach of essential contractual obligations (cardinal duties), limited to the foreseeable damage typical for this type of contract. Liability for loss of profit and data loss in cases of slight negligence only exists if the Client has backed up its data regularly and appropriately for the risk. Liability is otherwise excluded.
11. Data protection and confidentiality
Both parties observe the applicable data protection laws. Where the Contractor processes personal data on behalf of the Client, a data processing agreement under Art. 28 GDPR is concluded on request. The privacy policy of this website describes how we process data ourselves. Both parties treat confidential information of the other side as confidential.
12. Term and termination of ongoing services
Unless otherwise agreed, ongoing services (maintenance, support, care) can be terminated in text form with 30 days' notice to the end of the month. The right to terminate for good cause remains unaffected. If a project ends early, the Contractor invoices the services rendered up to that point.
13. Appointments and booking
Appointments booked via the online scheduler are requests and only apply once confirmed by the Contractor. Appointments can be cancelled by the customer via the link in the confirmation email up to two hours before the start, or rescheduled by email to info@projekte24.net . Consultation appointments are non-binding and free of charge unless stated otherwise.
14. Right of withdrawal for consumers
Consumers have a statutory right of withdrawal of 14 days for distance contracts. The details, the model withdrawal form and the conditions for early expiry are set out in our Right of withdrawal. You can declare your withdrawal at any time online using the button “Withdraw from contract” . For services made to customer specifications the right of withdrawal may be excluded (§ 312g BGB); we point this out in the offer.
15. Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Where legally permissible, the place of jurisdiction is the Contractor's registered office. Should a provision be invalid, the validity of the remaining provisions remains unaffected. Amendments and additions require text form.
Note on consumer dispute resolution: We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
